Terms of Service

1. Acceptance of Terms

By accessing or using the DrayVault platform (“Platform”), you (“User,” “Carrier,” “Customer,” or “you”) agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not access or use the Platform. By creating an account, you confirm that you have read, understood, and accepted these Terms.

2. Description of Service

DrayVault provides a secure, web-based platform for transportation procurement, carrier RFP management, lane bidding, award management, and pricing workflow automation. The Platform is intended for use by licensed transportation companies, freight brokers, shippers, and logistics professionals.

3. Eligibility

You must be at least 18 years of age and authorized to enter into binding agreements on behalf of your organization to use this Platform. By registering, you represent and warrant that you meet these requirements.

4. Account Registration & Responsibility

• You agree to provide accurate, current, and complete information during registration
• You are responsible for maintaining the confidentiality of your login credentials
• You are responsible for all activity that occurs under your account
• You must notify us immediately of any unauthorized access or breach at [email protected]
• We reserve the right to suspend or terminate accounts that provide false information or violate these Terms

5. Intellectual Property

All rights, title, and interest in and to the Platform — including but not limited to software, source code, algorithms, pricing methodologies, bid evaluation logic, workflow designs, user interface, graphics, and content — are and remain the exclusive property of DrayVault and its licensors.

These Terms do not grant you any ownership rights. You receive only a limited, non-exclusive, non-transferable, revocable license to access and use the Platform for your internal business purposes.

DrayVault™ and the DrayVault logo are trademarks of DrayVault. You may not use them without prior written permission.

6. Restrictions on Use

You may not, directly or indirectly:

• Copy, reproduce, modify, or create derivative works of the Platform
• Reverse engineer, decompile, disassemble, or attempt to extract source code
• Scrape, harvest, crawl, or extract data from the Platform using automated tools, bots, or scripts
• Use the Platform to build, train, or improve a competing product or service
• Resell, sublicense, or redistribute Platform outputs — including pricing data, bid results, or analytics — outside your organization
• Circumvent, disable, or interfere with security features of the Platform
• Share login credentials or allow unauthorized users to access your account
• Use the Platform for any unlawful purpose

7. Data Ownership

You retain ownership of the data your organization submits to the Platform (“Customer Data”). By submitting data, you grant DrayVault a limited license to process and store that data solely to provide the service.

DrayVault may use aggregated, anonymized, and de-identified data derived from Platform usage to improve the service, conduct analytics, and develop new features. This data will never identify your organization or expose your pricing.

8. Confidentiality

You agree to treat as confidential all information accessed through the Platform, including:

• Carrier bid submissions
• Lane pricing and rate data
• Award decisions and outcomes
• Other users' or companies' data visible through the Platform

You may not disclose this information to any third party except as required for your own internal business operations or as required by law.

9. Carrier-Specific Terms

If you are accessing the Platform as a Carrier:

• You agree that bid submissions are binding offers subject to the event rules
• You may not share bid data with competing carriers
• You may not submit bids on behalf of another carrier without explicit authorization
• Bid deadlines are enforced server-side; late submissions will not be accepted

10. Acceptable Use

You agree not to use the Platform in any way that:

• Violates applicable laws or regulations
• Infringes on the rights of any third party
• Introduces malware, viruses, or harmful code
• Overloads or disrupts Platform infrastructure
• Attempts unauthorized access to any part of the system

11. Termination

We reserve the right to suspend or terminate your access at any time, with or without notice, if:

• You violate these Terms
• Unauthorized, abusive, or fraudulent usage is detected
• Your account is inactive for an extended period

Upon termination, your right to access the Platform ceases immediately. Sections 5, 6, 7, 8, 12, 13, and 14 survive termination.

12. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE AT ALL TIMES.

13. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DRAYVAULT SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING FROM YOUR USE OF OR INABILITY TO USE THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY TO YOU FOR ANY CLAIM ARISING FROM THESE TERMS OR YOUR USE OF THE PLATFORM SHALL NOT EXCEED THE AMOUNT YOU PAID TO DRAYVAULT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

14. Governing Law & Dispute Resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict of law principles. Any disputes arising from these Terms shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction to protect intellectual property rights.

15. Changes to Terms

We may update these Terms at any time. We will notify registered users via email or in-platform notice. Continued use of the Platform after the effective date of updated Terms constitutes acceptance. If you do not agree to updated Terms, you must stop using the Platform.
